Zhenling Zhang

Zhenling is a Senior Associate in the Firm’s Singapore office and a member of the Firm’s Asia Practice. Her practice focuses on U.S. capital markets, securities law, corporate governance and cross-border transactions. She represents issuers, underwriters and investors in U.S. public and private securities offerings, de-SPAC transactions, PIPE financings, registered direct offerings, at-the-market offerings, cross-border mergers and acquisitions, and Nasdaq and NYSE American listings.

Zhenling regularly leads cross-border transactions involving companies throughout Asia and advises clients on SEC reporting and disclosure obligations, corporate governance, securities law compliance, exchange listing requirements, equity compensation plans and ongoing public company matters. She has extensive experience managing SEC registration statements and periodic reports, coordinating regulatory responses with the SEC, Nasdaq, FINRA, auditors and other transaction participants.

Prior to joining the Firm, Zhenling practiced at a boutique litigation firm in New York, where she represented U.S. investors and Asian companies in complex commercial and securities litigation, international arbitration, cross-border discovery and judgment enforcement matters. She represented clients before state and federal courts throughout the United States, as well as the Hong Kong International Arbitration Centre.

Zhenling is admitted to practice in the State of New York, the U.S. District Courts for the Southern and Eastern Districts of New York, and is a member of the New York City Bar Association and the New York Asian American Bar Association. She is fluent in English and Mandarin Chinese.
